1. Acceptance of Terms
By accessing, registering for, or using VariSolver (the "Service"), operated by AssetMemory ("we," "us," or "our"), you ("User," "you," or "Customer") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a binding legal agreement governed by the laws of New Zealand.
If you are entering into these Terms on behalf of a company or other legal entity (such as a business purchasing a Teams Plan), you represent that you have the authority to bind such entity to these Terms.
2. Service Description & Accounts
VariSolver provides AI-assisted technical variance and analysis tools. Accounts are provided on a tier basis (including Professional and Teams plans). You must provide accurate, complete information when creating an account and keep your credentials secure.
3. Purchasing Credit Bundles & Payment Terms
Pricing & Currency: All fees for credit bundles, subscriptions, and platform services are quoted and billed in United States Dollars (USD) as our primary currency. Where localized currency pricing is selected or displayed during checkout (such as New Zealand Dollars - NZD), the applicable currency conversion rate will be calculated and presented to you at the time of purchase. Final checkout amounts in localized currencies will be inclusive of any applicable local sales taxes, indirect taxes, or consumption taxes, including Goods and Services Tax (GST) pursuant to the New Zealand Goods and Services Tax Act 1985 where NZD or New Zealand tax obligations apply.
Billing: Credit bundles and subscriptions are billed in advance. By selecting a paid tier or credit bundle, you authorise us to charge your designated payment method.
Usage: Credits are deducted based on the processing and computational resources required for your use of the VariSolver services.
4. Credit Expiry & Rollover Policy
4.1 Professional Plan (Standard Credit Bundles)
12-Month Expiry: Credits purchased under individual or Professional Plans expire strictly twelve (12) calendar months from the date of purchase.
Forfeiture: Any unused Professional Plan credits remaining at the end of the 12-month period will automatically forfeit without refund, compensation, or extension.
4.2 Teams Plans
Rollover Eligibility: Credits associated with active Teams Plans are eligible for rollover provided there is more than one active member in the team.
Rollover Mechanics: Unused credits allocated under a Teams Plan will roll over into subsequent billing cycles, provided the Teams Plan subscription remains active, more than one active member, and no abuse of services.
Subscription Termination: If a Teams Plan subscription is cancelled, downgraded, or terminated for non-payment, all accrued rollover credits will immediately expire on the final day of the active billing period.
5. Refund Policy
General Rule (No Refund on Unused Credits): Except as required by New Zealand law, all purchases of credit bundles, subscriptions, and plan upgrades are final and non-refundable. We do not provide prorated refunds for mid-cycle cancellations or unused credit balances.
Statutory Rights (Consumer Guarantees Act 1993):
If you are accessing the Service as a consumer for personal or household use, nothing in these Terms excludes or limits your statutory rights under the New Zealand Consumer Guarantees Act 1993 (CGA) or the Fair Trading Act 1986 (FTA).
If the Service fails to meet a guarantee under the CGA (e.g., severe non-availability or critical defects making the service unfit for purpose), you may be entitled to a remedy, repair, replacement, or refund in accordance with New Zealand law.
Business Use Exemption: Where you purchase or use the Service for the purposes of a business or trade, you agree that the provisions of the Consumer Guarantees Act 1993 do not apply to your purchase, to the maximum extent permitted under Section 43 of the CGA.
6. Acceptable Use & Intellectual Property
Inputs & Outputs: You retain ownership of any data, text, or prompts you submit to VariSolver ("Input"). Subject to your compliance with these Terms, VariSolver assigns to you its rights in the output generated by the Service based on your Input ("Output").
Restrictions: You may not reverse engineer, scrape, resell credit balances, or use the Service to generate illegal content or circumvent technical restrictions.
7. Limitation of Liability & Disclaimer of AI Outputs
AI Output Disclaimer: VariSolver utilizes artificial intelligence to generate answers. Outputs are generated probabilistically and should be independently verified. We make no guarantees as to the accuracy, completeness, or suitability of any Output for professional or critical decision-making.
Liability Limit: To the maximum extent permitted by New Zealand law, VariSolver's total cumulative liability arising out of or related to these Terms or the Service shall not exceed the total amount paid by you to VariSolver in the twelve (12) months preceding the claim.
Indirect Damages: In no event will VariSolver be liable for any indirect, consequential, special, or economic losses (including loss of profits, data, or business opportunity).
8. Privacy & Data Protection
Your use of VariSolver is also governed by our Privacy Policy. We collect, handle, and process personal information in accordance with the New Zealand Privacy Act 2020.
9. Termination
We reserve the right to suspend or terminate your access to VariSolver immediately if you commit a material breach of these Terms. Upon termination, your right to use the platform ends, and any remaining non-rolled-over credits will be forfeited subject to applicable statutory consumer protections.
10. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of New Zealand. Both parties submit to the exclusive jurisdiction of the courts of New Zealand for the resolution of any disputes arising under or in connection with these Terms.
